Terms of Service

By using our websites or services you agree to these terms. If you are accepting on behalf of an organisation, you confirm you are authorised to bind that organisation.

A signed order form, approved quote or executed licence agreement takes precedence over these terms where the two conflict.

You are responsible for the accuracy of account information and for activity carried out under your credentials. Restricted areas are provided to named individuals and must not be shared.

Subscriptions run for the interval stated at purchase and renew automatically for the same interval unless cancelled before the renewal date.

Cancellation stops the next renewal. It does not retroactively cancel an interval that has already begun, and access continues until the end of the paid interval unless stated otherwise.

Where a term contract is agreed, the committed term applies for its full duration and cancellation takes effect at the end of that term.

Price changes apply from the next renewal and will be communicated before they take effect.

Manage renewal and cancellation from your account or customer portal where self-service management is available; where it is not, write to intrepidpi@intrepidsoftllc.com and we will action the request.

A subscription or term licence ends when its paid term ends. Continued use after that point requires a renewal.

A fully paid perpetual licence to the specified release continues without an access renewal fee. It is not revoked simply because a term has passed or because an optional agreement was not renewed.

A perpetual licence may still terminate for uncured material breach after notice, for infringement of intellectual property, for unlawful use, for fraud or non-payment of the licence fee itself, or on another termination ground written into the signed agreement.

Ending or declining optional maintenance and support does not terminate the underlying perpetual licence.

Hosting, AI and GPU compute, storage, model or API access, future major versions, third-party services and support are separate from the perpetual licence and may end when the associated service or maintenance term ends.

Plans may include specified allowances for storage, compute, AI generation, messages, seats or exports. Consumption beyond an allowance is either blocked or billed as additional usage, as stated in the applicable offer.

Unused allowances do not carry over between intervals unless expressly stated.

Commissioned work — including custom songs, research, analysis and writing — is delivered under the scope, revision count and licence stated in the accepted brief or quote. Changes of scope are quoted separately.

We aim to keep services available and to give reasonable notice of planned maintenance. We do not publish an uptime guarantee, and no uptime commitment exists unless it is written into a signed agreement.

We may suspend or terminate access to hosted and subscription services for non-payment, for breach of the Acceptable Use Policy, or where continued access presents a legal or security risk. Where practical, we will give notice and an opportunity to remedy.

A fully paid perpetual licence is not suspended or terminated on these grounds alone; it terminates only on the grounds set out under 'Term licences and perpetual licences' or in the signed agreement.

You may terminate by cancelling your subscription or by ending an agreement in accordance with its terms.

Services are provided on an 'as is' and 'as available' basis to the fullest extent permitted by law. Nothing in these terms limits liability that cannot lawfully be limited.

Aggregate liability for any claim is limited to the amounts paid to Intrepid Soft LLC for the affected service in the twelve months preceding the claim, unless a signed agreement states otherwise.

The governing law and dispute-resolution forum are set in the signed agreement applicable to your engagement. Where none exists, they will be confirmed in writing before a binding commitment is made.
